These Terms & Conditions ("Terms") constitute a legal agreement between you ("User," "you," or "your") and Quantiz, operated by Jpleeuwke berendonk ("Company," "we," "us," or "our"). 5. Services and Project Terms

5.1 Project Inquiries

When you submit a project inquiry through our Site, you understand that this does not constitute a binding agreement or contract. We will review your inquiry and may contact you to discuss your project requirements, timelines, and budget.

5.2 Quotations and Proposals

Any quotation or proposal provided by Quantiz is valid for 30 days from the date of issuance unless otherwise specified. Acceptance of a proposal must be communicated in writing and constitutes the formation of a binding agreement.

5.3 Project Scope and Deliverables

The scope of work, deliverables, timelines, and payment terms will be clearly defined in the project agreement. Any changes to the project scope must be communicated in writing and may result in adjustments to the timeline and cost.

6. Payment Terms

Unless otherwise agreed in writing:

• A deposit is required to commence work on projects
• Invoices are due within 30 days of issuance
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are exclusive of applicable taxes unless specified otherwise

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, QUANTIZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO QUANTIZ IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. QUANTIZ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or secure. Your use of the Site is at your own risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless Quantiz, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

10. Termination

We reserve the right to terminate your access to the Site and services at any time, without notice or liability, if you violate these Terms or engage in conduct that we deem harmful to other users or the integrity of the Site.

Upon termination, your right to use the Site immediately ceases, and all provisions that by their nature should survive termination shall remain in effect.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the Dutch courts for any disputes arising from these Terms or your use of the Site.

12. Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve any disputes through informal negotiation or mediation. If a dispute cannot be resolved within 30 days, either party may pursue legal action.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Quantiz regarding the Site and supersede all prior and contemporaneous agreements, understandings, and communications.
